Agreement to terms

By accessing this website or engaging FLEX InfoTech Limited to provide services, you agree to be bound by these Terms. If you are entering into them on behalf of an organisation, you confirm you have authority to do so.

Our services

We provide software design, development, and related professional services as described in individual proposals or statements of work ("SOW"). Each SOW forms part of the agreement between us and takes precedence where it conflicts with these Terms.

Engagements & changes

We work in an iterative, collaborative way. Changes to scope, timeline, or budget will be agreed with you in writing before the affected work begins. We will not carry out chargeable additional work without your approval.

Client responsibilities

To deliver on time, we rely on your timely input — access, feedback, content, and approvals. Delays in providing these may affect timelines and costs, for which we are not responsible.

Intellectual property

On full payment, you own all custom deliverables and source code we create for you under an SOW. We retain ownership of our pre-existing tools, libraries, and know-how, and grant you a licence to use them as part of the deliverables.

Fees & payment

Fees, rates, and payment schedules are set out in each SOW. Unless stated otherwise, invoices are due within 14 days. Late payments may incur interest and, after notice, a pause in work.

All fees are exclusive of applicable taxes and third-party costs such as hosting and licences, which are billed at cost.

Confidentiality

Each party agrees to keep the other’s confidential information secure and to use it only for the purposes of the engagement. This obligation survives the end of our work together.

Warranties & disclaimers

We provide our services with reasonable skill and care. Except as expressly stated, the website and services are provided "as is" without further warranties of any kind, to the fullest extent permitted by law.

Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential losses. Our total liability arising from an engagement is limited to the fees paid for the work giving rise to the claim.

Termination

Either party may terminate an engagement with written notice as set out in the relevant SOW. On termination, you agree to pay for all work performed up to the termination date.

Governing law

These Terms are governed by the laws of Bangladesh, and the courts of Dhaka have exclusive jurisdiction over any dispute, without affecting mandatory consumer rights in your country of residence.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "last updated" date above. Continued use of the site or our services means you accept the updated Terms.
